User Agreement (hereinafter the Agreement)

This document "User Agreement" constitutes an offer of GoRapid Studio FZ LLC ("GoRapid" or "we") to conclude an agreement on the conditions set forth below.

By accessing and / or playing, downloading and / or viewing, opening and / or using the Site and / or the VR Game, you represent to us that you have read, understood and agree to be bound by this Agreement and all applicable local, state, national and international laws. and conventions, including but not limited to all intellectual property laws. The Company reserves the right, in its own and sole discretion, to deny access to any User without prior notice. If you violate any of the terms, including the terms of the Agreement, we may, at our discretion, send you a warning of the violation or immediately close your account for violation of the terms.

If you do not agree with all of these terms, including the terms of the Agreement, do not allow the use of the Site and the VR Game in any way. If the User does not agree with the changes made to the Agreement and other documents, the User undertakes to stop using the Site and VR Game.

1. General Provisions

1.1 In this document and the resulting or related relations of the Parties, the following terms and definitions are used:

Agreement — this document with all additions, changes and mandatory documents specified in it, as well as a contract concluded on its basis.

User/ User’s is a capable individual over 18 years of age who acceded to this Agreement in his own interest or acting on behalf of and in the interests of the legal entity he represents.

Site means a collection of web pages located at the domain addresses http://gorapidstudio.com

VR game is a set of data and commands presented in an objective form intended for the operation of computers and other technical devices in order to obtain a certain result and the audiovisual displays generated by it in artificial reality created by technical means, intended for installation and use on specially designed devices.

Device — a personal computer, tablet, mobile phone, communicator, smartphone, VR helmet, other device that allows you to use the VR Game and / or the Site according to their functional purpose.

Content — images, text, audio and video materials, computer code, illustrations, animation, sounds, musical compositions, audiovisual effects, as well as any other objects of copyright and (or) related rights, as well as information and messages of any nature that are not such.

1.2 This Agreement may use other terms and definitions not specified in clause 1.1. of Agreement. In this case, the interpretation of such a term is made in accordance with the text of the Agreement. In the absence of an unambiguous interpretation of the term or definition in the text of the Agreement and other documents that form the agreement on the terms of the Agreement, one should be guided by its interpretation, determined: first of all, by the legislation of the United Arab Emirates (UAE), secondly, by international law, and subsequently by business customs and scientific doctrine.

1.3. The use of the VR Game and / or the Site by the Users in any way and in any form within their declared functionality and purpose, including:

viewing the content and materials posted on the Site;

other use of the functionality of the VR Game or the Site;

creates a contract on the terms of this Agreement in accordance with the provisions of the Civil Law of the United Arab Emirates.

1.4. This Agreement and the binding documents specified in it now or in the future determine the basic terms of use of the VR Game / the Site, as well as any changes and / or addition of new functionalities.

1.5. A required condition for the use of the VR Game and the Site is the complete and unconditional acceptance by the User of the terms of the following documents (according to the text of the Agreement — "mandatory documents"):

1.6. The provision of VR Game is governed in accordance with the terms of this Agreement, as well as by additional documents (referred to in the text of the Agreement as "additional documents") that are published by GoRapid on the pages of the Website or on platforms publishing the VR game, or which will be published in the future and may regulate the specific aspects of using a particular virtual game and/or services within it.

1.7 In the event of a conflict between the Agreement and the terms of use set forth in an additional document to any VR Game, the terms of use of the respective VR Game set forth in the additional document related to it shall prevail.

1.8. The Agreement, including binding and additional documents related to it or drawn up in its execution, may be changed by GoRapid or on platforms publishing the VR game without any special notice. The new version of the Agreement and / or mandatory documents comes into force from the moment it is posted on the Site, or in the VR Game, or brought to the attention of the User in another convenient form, unless otherwise provided by the new edition of the Agreement and / or in the specified mandatory documents, or without notice Of the User, while continuing to use the Site and / or VR Game after amendments to the Agreement and other mandatory or additional documents The User is considered to have accepted the changes to the Agreement, mandatory, additional and other documents.

1.9. Using any of the opportunities specified in clause 1.3., you acknowledge that:

1.9.1. Have reached the age of 18;

1.9.2. You have familiarized yourself with the terms of this Agreement and the documents specified therein, mandatory and additional for the Parties, in full before using the VR Game and / or the Site;

1.9.3. You accept all the terms of this Agreement, mandatory and additional documents for the Parties in full, without any exceptions and restrictions on your part, and undertake to comply with them or stop using the VR Game and / or the Site. If you do not agree with the terms of this Agreement, documents binding and additional for the Parties, or do not have the right to conclude a contract on their basis, you should immediately stop any use of the VR Game and / or the Site.

2. General terms of use of the VR Game and / or the Site

2.1. When browsing the Site, you must remember that all Site Content is protected by copyright.

2.2. Access to the VR game and its functionality is granted only after the User registers and/or logs in on platforms publishing the VR game (Steam, etc.). User registration/login is carried out in accordance with the rules of the respective platform.
2.3. The Registered User independently determines the procedure for using functionalities of the VR Game, including the terms of use of the respective VR Game, which under no circumstances can contradict this Agreement, with the exception of those established in additional documents.
3. Restrictions on the use of VR Game and / or the Site

3.1. By accepting the terms of this Agreement, you understand and acknowledge that:

 — GoRapid has the right to set limits and restrictions on the use of VR Game and / or the Site and the Services based on them for all Users, or for certain categories of Users (depending on the User’s location, the language in which the Service is provided, etc.), including: the presence / absence of certain functions, the maximum storage period for information and data, special parameters of the loaded information, etc.

3.2. Information about the established restrictions will be brought to the attention of the Users in the form and in the manner that are determined at the sole discretion of GoRapid.

3.3. Unless otherwise provided by additional documents VR Game and / or the Site then:

 — The User uses the VR Game and / or the Site at his own risk. The VR Game and / or Site are provided "as is". GoRapid does not assume any responsibility, including for the compliance of the VR Game and / or the Site with the goals of the User;

 — GoRapid does not guarantee that the VR Game and / or the Site meet the User’s requirements at the time of acceptance of the Agreement and / or will comply with them subsequently;

 — GoRapid does not guarantee that the Site and / or the VR game will be free of errors, that defects will be corrected. GoRapid disclaims all warranties, express or implied;

 — Any information and / or materials (including downloadable software, letters, any instructions and guides to action, etc.) that the User gains access to using the VR Game and / or the Site, the User can use on his own risk and is solely responsible for the possible consequences of using the specified information and / or materials, including for damage that this may cause to the User’s computer or third parties, for data loss or any other harm;

 — Since the VR Game and / or the Site are at the stage of constant additions and updates, the form and nature of the functionality of the VR Game and / or the Site may change from time to time without prior notice to the User. GoRapid has the right, if necessary, at its sole discretion, to terminate (temporarily or permanently) the provision of VR Game and / or the Site (or any individual functions within the VR Game and / or the Site) to all Users in general or to an individual User, in particular, without prior notice and explanation of reasons;

 — GoRapid is not responsible for any types of losses incurred as a result of the User’s use of the VR Game and / or the Site;

 — The user agrees and acknowledges that GoRapid is not responsible, directly or indirectly, for any bodily and / or psychological injury and material damage that may arise when using the VR Game and / or the Site. But warns, if you, as a User, have contraindications to virtual reality and Game in it, then do not play VR Game.

The User and the Company agree that non-pecuniary damage is not subject to compensation.



4. Intellectual rights

4.1. All objects available through the VR Game and / or the Site, including design elements, text, graphics, illustrations, videos, computer programs, databases, music, sounds and any other objects, including those recognized as copyright objects under the laws of foreign countries other than the UAE, posted within the framework of the VR Game and / or the Site are subject to the exclusive rights of GoRapid, Users and other rightholders.

4.2. GoRapid grants the User the right to functional use of the VR Game and / or the Site within their general functionality. The User is granted a non-exclusive, non-transferable, limited license to use one copy of the VR Game for personal, non-commercial use in the ways specified below. Rights not expressly granted by this Agreement are reserved by GoRapid.

4.3 Using the VR Game and / or the Site in other ways, including by copying (reproducing) the Content posted in them, as well as design elements, computer programs and databases included in the VR Game, their decompilation, modification, and subsequent distribution, public display, communication to the public is strictly prohibited, unless otherwise provided by this Agreement.

4.4. The User does not have the right to reproduce, repeat and copy (except for the first time when installed on a device), sell, or use for any commercial purposes any part of the VR Game and / or the Site (including the Content available to the User through the VR Game and / or the Site), or access to them, including, but not limited to, use in an Internet cafe, computer game center or any other site linked to a specific location, unless the User has received such permission from GoRapid.

4.4.1. The user is not entitled to:

 — sell, rent, lease, license, distribute or otherwise transfer VR Game or any copies of a VR Game without GoRapid’s express prior written consent.

 — reverse engineer, source, modify, decompile, disassemble or create derivative works of the VR Game, in whole or in part.

 — remove, disable or bypass any proprietary notices or labels contained in or within the VR Game.

 — hack or modify (or attempt to modify or hack) the VR Game, or create, develop, modify, distribute or use any software in order to gain (or allow others to gain) the advantage of this VR Game.

-export or re-export the VR Game or any copy or adaptation of the VR Game.

4.5. The User’s use of the VR Game and / or the Site, as well as the Content posted in them for personal non-commercial use, is allowed provided that all copyright protection marks, related rights, trademarks, other notices of authorship are preserved, the name (or pseudonym) of the author / name of the copyright holder is preserved. unchanged, keeping the corresponding object unchanged. The exceptions are cases directly provided for by the legislation of the UAE or additional documents for use.

4.6 VR Game and / or the Site may contain links to sites on the Internet (third party sites). These third parties and their content are not checked by GoRapid for compliance with certain requirements (accuracy, completeness, legality, etc.). GoRapid is not responsible for any information, materials posted on third-party sites to which the User gains access in connection with the use of VR Game and / or the Site, as well as for the availability of such sites or information and the consequences of their use by the User.

4.7. A link (in any form) to any site, product, service, any information of a commercial or non-commercial nature posted within the VR Game and / or the Site does not constitute an endorsement or recommendation of these products (services, activities) by GoRapid, except as when it is directly indicated by GoRapid.

5. Notifications

5.1. GoRapid has the right to send the User to User’s Email Address or in any other way provided or communicated to the Company, informational e-mail messages (hereinafter referred to as "messages") about important events occurring within the framework of the VR Game and / or the Site or in connection with them.

5.2. Among other things, it is allowed to use messages to inform the User about restrictions on access to the VR Game and / or the Site in connection with preventive maintenance, violations of the User, changes in the functionality of the VR Game and / or the Site, the content or terms of provision of the VR Game and / or the Site, including changes to the Agreement, mandatory and additional documents. The Company leaves it at its discretion to inform Users.

5.3. GoRapid, at its sole discretion, has the right to use messages to distribute advertising of its own services and products and / or services of third parties.

6. Final provisions

6.1. This Agreement is governed by and construed in accordance with the laws of the UAE. Issues not regulated by this Agreement are subject to resolution in accordance with the legislation of the UAE. All possible disputes arising from the relations governed by this Agreement are resolved in the manner prescribed by the current legislation of the UAE, in accordance with the norms of law of the UAE. Throughout the text of this Agreement, unless clearly indicated otherwise, the term "legislation" means the legislation of the UAE.

6.2. If, for one reason or another, one or more of the provisions of this Agreement are found to be invalid or unenforceable, this does not affect the validity or applicability of the remaining provisions of the Agreement.

6.3 GoRapid’s failure to act in the event of violation by the User or other Users of the provisions of the Agreements does not deprive GoRapid of the right to take appropriate action to protect its interests later, and does not mean GoRapid’s refusal of its rights in the event of subsequent similar or similar violations.

6.4. All disputes under the Agreement or in connection with it are subject to consideration, depending on jurisdiction in accordance with the procedural legislation of the UAE.
